By accessing and using the traphIQ service ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

traphIQ provides enterprise RFID personnel tracking, equipment monitoring, and traffic light automation solutions for industrial, mining, and manufacturing operations. Our services include:

3.1 Account Creation

To access certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to immediately notify traphIQ of any unauthorized use of your account or any other breach of security.

5. Subscription and Payment Terms

5.1 Subscription Plans

traphIQ offers various subscription plans including Cloud Standard, Cloud Enterprise, and On-Premise deployments. Subscription fees are charged in advance on a monthly or annual basis.

5.2 Free Trial

We offer a 30-day free trial for new customers. No payment information is required during the trial period. The trial automatically expires after 30 days unless you subscribe to a paid plan.

5.3 Payment and Billing

Subscription fees are billed in advance and are non-refundable. We may change our pricing at any time, but price changes will not affect your current billing cycle.

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, your access to the Service will continue until the end of your current billing period.

6. Data and Privacy

6.1 Data Ownership

You retain ownership of all data you input into the Service ("Customer Data"). We do not claim ownership of Customer Data.

6.2 Data Processing

We process Customer Data solely to provide the Service. We implement appropriate technical and organizational measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction.

6.3 Data Location

For cloud deployments, Customer Data is stored in secure data centers in Canada. For on-premise deployments, data remains on your local infrastructure.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of traphIQ and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Confidentiality

Both parties acknowledge that they may have access to confidential information. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent.

9. Service Level Agreement

9.1 Uptime Guarantee

For cloud-based services, we guarantee 99.9% uptime, calculated monthly. If we fail to meet this standard, you may be eligible for service credits.

9.2 Support

We provide technical support during business hours for all paid subscriptions. Enterprise customers receive 24/7 priority support.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall traphIQ be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless traphIQ and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees).

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

13. Governing Law

These Terms shall be interpreted and governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
